The Short Answer
What Is Form 1120?
Form 1120 is the federal income tax return generally used by domestic C corporations to report income, deductions, gains, losses, credits and corporate income tax. A corporation with an effective S election generally uses Form 1120-S instead. An LLC’s legal name alone does not determine its federal tax classification.
The Questions Behind The Filing
What Deserves Your Attention.
The Company And The Owner
Corporate cash is not automatically personal spending money. Wages, dividends, reimbursements and loans can have different tax consequences. Record what actually happened and keep the supporting agreements, payroll and payment history together.
The Books And The Return
A profit-and-loss statement is only part of the picture. The balance sheet, prior-year tax adjustments, asset purchases, depreciation and shareholder transactions help explain how the year fits together. A number on a bank statement does not explain its tax treatment.
The Decision Before The Deadline
Compensation, benefit plans, purchases and distributions deserve attention during the year. Filing records the past; planning gives you a chance to examine a decision while there is still a decision to make.
Bring The Records. Keep The Story.
Start with what you have and identify the gaps. These records help frame the conversation; your situation may require additional information.
- Prior corporate returns and any IRS notices
- Year-end profit-and-loss statement, balance sheet and general ledger
- Bank and credit-card reconciliations
- Payroll, officer compensation and benefit-plan records
- Asset purchases, disposals, loans and depreciation schedules
- Ownership changes, distributions and shareholder loan agreements
Do not post tax identifiers, returns or account statements publicly. The firm’s secure intake and document collection follow the initial conversation.
Know Which Clock Is Running.
Form 1120 is generally due on the 15th day of the fourth month after the corporation’s tax year ends. Special rules, including certain June 30 fiscal year ends, can change that date. Form 7004 may extend filing time; it does not generally extend the time to pay. Confirm the rule for the corporation’s actual tax year.
Check The Official Instructions →A general deadline is not a case-specific determination. The tax year, facts, weekends, legal holidays, special rules and announced relief can matter.
Form 1120: Questions Worth Asking.
Is Form 1120 The Same As Form 1120-S?
No. Form 1120 generally reports a C corporation’s own income tax. Form 1120-S reports an entity with an effective S corporation election and generally passes tax items through to shareholders. Similar names do not make the returns interchangeable.
Does Every LLC File Form 1120?
No. An LLC can have different federal tax classifications. Review its number of owners, any classification election and any S election before choosing a return. State formation paperwork alone does not settle the federal filing requirement.
Does A Corporation With No Profit Still Need To File?
Generally, a domestic corporation must file an income tax return even without taxable income, unless an exception applies. No profit, no activity and a legally dissolved company are different situations. Check the filing requirement rather than assuming it disappeared.
Can I Take Money Out And Call It A Loan?
A label does not establish a genuine loan. The facts, documentation, repayment terms and actual conduct matter. Identify owner transfers in the records before treating them as compensation, distributions or debt.
What If The Books Do Not Match Last Year’s Return?
Keep both versions. Reconcile opening balances, prior tax adjustments and any changes made after filing. Do not quietly overwrite history to force a match; the difference may need an explanation or a separately evaluated correction.
Does An Extension Give More Time To Pay?
Generally, no. A filing extension does not generally extend the corporate tax payment deadline. Work from a supported estimate and confirm the applicable payment and extension requirements.
Can The Free Consultation File My Corporate Return?
The initial tax consultation gathers context and concerns. Corporate return preparation, research, written advice and representation require their own defined engagement. Starting the consultation does not submit Form 1120 or accept a filing deadline on the firm’s behalf.
